Welcome to Takeoff, a mobile application (‘App‘) provided by Takeoff Ventures Inc. (‘Takeoff,‘ ‘we,‘ ‘us,‘ or ‘our‘). The App is designed to facilitate the planning of group trips and the splitting of payments among participants. By accessing or using our App, you agree to be bound by these Terms and Conditions (‘Terms‘). Please read these Terms carefully before using the App.
If you do not agree to these Terms, please do not use or access the App.
To use the App, you must be at least 18 years old and able to form legally binding contracts. By accessing or using the App, you represent and warrant that you meet these requirements. If you do not meet these requirements, you may not access or use the App.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the App for your personal, non-commercial use.
You may need to create an account to access certain features of the App. You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not responsible for any loss or damage arising from your failure to protect your account information.
You are solely responsible for any content you submit or post through the App (‘User Content‘). You agree not to submit, post, or transmit any User Content that is illegal, offensive, defamatory, harmful, threatening, harassing, or otherwise objectionable. We reserve the right, but have no obligation, to monitor, edit, or remove User Content that we determine, in our sole discretion, violates these Terms.
The App and all content, features, and functionality, including but not limited to, text, graphics, logos, icons, images, audio clips, video clips, and the design, selection, and arrangement thereof, are the exclusive property of Takeoff or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The App uses Stripe and Plaid to facilitate payments among users. By using the App, you agree to comply with the terms and conditions of these third-party services. We are not responsible for the actions, content, or policies of these third-party services.
By using the App to facilitate payments, you agree to the following payment terms:
a. You authorize us to charge your payment method for any transactions initiated through the App.
b. You are responsible for providing accurate payment information and for ensuring that your payment method has sufficient funds to cover all transactions.
c. You agree to pay all fees and charges associated with your use of the App, including any applicable taxes and transaction fees.
d. We reserve the right to change our fees and charges at any time, with or without notice.
In no event shall Takeoff, its affiliates, or their respective officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, or any other intangible losses, resulting from your access to or use of, or inability to access or use, the App.
You agree to indemnify, defend, and hold harmless Takeoff, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
We may, in our sole discretion, terminate or suspend your access to the App, with or without notice, for any reason, including but not limited to, your violation of these Terms. You may also terminate your account at any time by discontinuing your use of the App. Upon termination, you must cease all use of the App, and any rights granted to you under these Terms will immediately cease.
We reserve the right to modify these Terms at any time. You are responsible for reviewing these Terms periodically to ensure you are aware of any changes. Your continued use of the App following any changes to these Terms constitutes your acceptance of such changes.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Saint Petersburg, Florida, United States, for any dispute arising out of or relating to these Terms or your use of the App.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
